Terms of Service

Akkadian Corp, a Florida company ("we") provides the Akkadyn scheduling service ("Service") to the customer organization ("Customer") and its authorized users.

1. Accounts

Customer is responsible for its users, for keeping credentials confidential, and for all activity under its account. Owners and admins should enable two-step sign-in.

2. Customer Data

Customer owns the schedules and personal data it enters. We process it only to provide the Service, keep it isolated from other customers, and delete or return it on request after termination.

3. Our Property

The Service, software, source code, design, and documentation are proprietary to Akkadian Corp and protected by copyright and trade-secret law. Customer receives only a limited, non-exclusive, non-transferable right to use the Service during the subscription.

4. Restrictions

Customer and its users will not, and will not allow others to: (a) copy, modify, or create derivative works of the Service; (b) decompile, disassemble, reverse engineer, or attempt to discover source code, algorithms, or non-public APIs, except to the extent the law expressly permits despite this restriction; (c) scrape, crawl, or bulk-extract the Service other than through documented exports or APIs; (d) access the Service to build or benchmark a competing product, or share screenshots/workflows for that purpose; (e) resell, sublicense, frame, or host the Service for third parties; (f) bypass security, rate limits, or access controls, or probe for vulnerabilities without written permission; (g) remove proprietary notices.

5. Confidentiality

Non-public features, pricing, and documentation are our confidential information.

6. Feedback

We may use suggestions without obligation.

7. Subscription, trial, and suspension

Free trials last 30 days. If a subscription lapses, the Service becomes read-only; approved records are never altered by lapse. We may suspend access for breach of Section 4.

8. Remedies

Breach of Sections 3–5 causes irreparable harm; we may seek injunctive relief in addition to damages, and recover reasonable attorneys' fees.

9. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim is limited to the fees Customer paid for the Service in the 12 months before the claim.

10. Healthcare note

The Service is a staffing scheduler and is not designed to store protected health information (PHI). Customer must not enter patient information. (If PHI is ever needed, a HIPAA Business Associate Agreement and HIPAA-eligible hosting are required first.)

11. Governing law and changes

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Hillsborough County, Florida. We may update these terms with 30 days' notice; continuing to use the Service after that means you accept the update.
